1. Acceptance of Terms
By accessing our website, commissioning services, or entering into a service agreement with Zent360, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please discontinue use of our site and services immediately.
2. Agency Services & Deliverables
Zent360 provides enterprise-grade digital services including Custom Website Development, AI Automation, Social Media Management, Video Content Creation, Influencer Marketing, and Commercial Product Photography. Detailed scope, milestones, revision allowances, and delivery timelines are specified in your tailored Quotation or Master Services Agreement (MSA).
3. Intellectual Property Rights
Upon full settlement of all invoiced fees, all bespoke creative assets, design collateral, and custom codebase created specifically for your brand transfer to you. Zent360 retains perpetual ownership of proprietary internal frameworks, reusable component libraries, boilerplates, and pre-existing algorithmic tooling utilized to construct the final deliverable.
4. Client Obligations & Content Approvals
Clients agree to provide accurate brand assets, high-resolution media, access credentials, and timely feedback necessary for project execution. Delayed feedback or approval bottlenecks exceeding 14 calendar days may necessitate rescheduling production sprints or adjusting contracted launch targets.
5. Billing, Invoicing & Payment Terms
Standard agency invoices are payable within the terms specified on each statement (typically 7 to 14 business days). Retainer services are billed in advance on the 1st of each calendar month. For custom software development and production projects, milestone-based disbursements apply as outlined in your approved Statement of Work.
6. Confidentiality & Non-Disclosure
Both parties mutually agree to treat all business logic, strategic roadmaps, trade secrets, customer databases, and financial figures disclosed during engagement as strictly confidential. Neither party shall disclose proprietary information to third parties without prior written consent.
7. Limitation of Liability
In no event shall Zent360, its directors, employees, or partners be liable for indirect, incidental, punitive, or consequential damages arising from third-party platform algorithm updates (e.g. Meta, Google, TikTok), hosting downtime, or unauthorized external breaches beyond reasonable commercial control.
8. Governing Law & Jurisdiction
These Terms of Service are governed by and construed in accordance with the laws of Bangladesh. Any dispute arising out of or related to these terms shall be subject to the exclusive jurisdiction of the competent courts of Dhaka, Bangladesh.
